Terms of Service

These terms govern the use of the Peguy UGC website and the social media scheduling application operated by Peguy UGC, and the terms on which we provide user-generated content production services to brands.
1. Who we are
Peguy UGC ("we", "us") is a user-generated content production business operated by Peguy, based in Lawrence, Massachusetts, United States. Contact: letswork@peguyugc.com.
2. What we provide
We produce short-form video content for brands, and we operate a private scheduling application used to publish that content to social media accounts we own or are authorised to manage. The scheduling application is an internal business tool. It is not a public product, has no public sign-up, and is not offered for sale or subscription.
3. Authorised accounts
We only connect social media accounts that we own, or that their owner has expressly authorised us to manage. Where we act for a client, that authorisation is agreed in writing before any account is connected. An account owner can revoke our access at any time through the platform's own settings; details are in our Privacy Policy.
4. Platform rules
Our use of each social media platform is governed by that platform's developer terms and community guidelines in addition to these terms. We publish only content we or our clients have the rights to publish, we do not use automation to inflate engagement, and we do not attempt to circumvent any platform's rules or rate limits.
5. Client work
Deliverables and revisions
Scope, deliverables, turnaround, and pricing are agreed per project in writing before production begins. Projects include up to two rounds of revisions unless otherwise agreed. Additional revisions are quoted separately.
Usage rights
Unless a written agreement says otherwise, we retain ownership of the content we produce and grant the client a licence to use it on the client's own channels for the agreed term and scope. Paid media use, whitelisting, extended terms, raw footage, and full buyouts are licensed separately and must be agreed in writing before production starts.
Payment
Payment terms are set out in each project agreement. We may pause delivery or withhold final files on overdue accounts.
6. Acceptable use of this website
You may not attempt to gain unauthorised access to our systems, interfere with their operation, scrape them at scale, or use them to distribute unlawful or infringing material.
7. Intellectual property
The Peguy UGC name, website, portfolio, and content are our property or used under licence. Client trademarks and materials supplied to us remain the property of that client.
8. Disclaimers
Our services are provided on an "as is" basis. We do not guarantee any specific engagement, reach, conversion, or commercial result from content we produce, and we are not responsible for changes a platform makes to its algorithms, policies, or APIs.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to these terms or any project is limited to the amount paid to us for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.
10. Termination
Either party may end a working relationship in writing. Work completed up to that point remains payable. We may suspend or end access to our services if these terms are breached.
11. Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law rules. Disputes will be brought in the state or federal courts located in Massachusetts.
12. Changes
We may update these terms. The date at the top of this page reflects the current version, and continued use of our services after a change constitutes acceptance.
